Zhong Min Energy: Intends to establish a corporate group and revise the "Articles of Association"

Minmin Energy announced that the company will convene a board meeting on December 12, 2025 to review and pass the proposal to establish an enterprise group and revise the "Company Articles of Association". The proposed Minmin Energy Group to be established is a legal person consortium jointly established by the company as the parent company and its wholly-owned and holding subsidiaries, not an independent legal entity, and members do not need to increase registered capital, and the company name will remain unchanged. The "Company Articles of Association" proposes to add the name of the enterprise group. The establishment of the enterprise group is in line with the company's strategy and does not change the equity structure of the member companies. This matter still needs to be reviewed by the shareholders' meeting and will be finally registered by the market regulatory department.
