BEXCELLENT GP (01775) announces that on August 18, 2025, the company intends to issue a total of 25.38 million subscription shares to subscriber Po-yu TUNG, which is equivalent to approximately 4.76% of the total number of issued shares after the issuance of the subscription shares. The subscription price for each subscription share is HK$0.50, representing a premium of approximately 20.48% over the closing price of HK$0.415 on August 18. The estimated net proceeds from the issuance of subscription shares is approximately HK$12.57 million. The company plans to use the net proceeds from the subscription for the following purposes to support the growth and operational improvements of the group: 30% for upgrading the infrastructure and technology of the teaching center, introducing advanced solutions such as artificial intelligence tools and systems to enhance the learning platform, assessment tools, and management systems; 30% for recruiting high-level teaching professionals and experts, conducting training and development programs, focusing on innovative teaching methods to strengthen and expand the teaching team; 10% for promoting brand development and visibility through advertising and publicity activities; and 30% as working capital to support daily operations.
