ENVISION GREEN (01783) announced that on April 10, 2025 (after trading hours), the company intends to acquire all the shares of Green Jade Reverse Logistics Limited from Tsui Yun Holdings Limited at a price of HK$35 million. Payment will be made after completion by issuing and distributing up to 4,545,455 new shares to the seller or its nominee at an issue price of HK$7.7 per share, representing a premium of approximately 11.8% over the closing market price of HK$6.89 per share on the Stock Exchange on April 10, 2025.
The target group is headquartered in Singapore and operates a facility in Singapore engaged in waste management and disposal business, with a focus on lithium battery disposal. Since 2005, the target group has been providing lithium battery disposal, waste collection and disposal, data destruction, hard drive refurbishment, and precious metal refining services to international clients, and has expanded its operations to Singapore, Malaysia, Hong Kong, mainland China, Indonesia, and some European countries including Germany, Slovakia, Lithuania, and Poland.
The Board believes that the acquisition will produce potential synergies with the Group's existing reverse supply chain management and green energy solutions business, enhancing the Group's technological, human resources, and business relationship advantages. At the same time, this will accelerate the Group's global presence. The target group and its facility in Singapore will become the Group's second battery disposal center in Asia.
