Huayang International: Termination of Agreement Transfer

Announcement of Huayang International: The agreement transfer of 9.825 million shares planned to be transferred by the company's controlling shareholder and actual controller Tang Chongwu, as well as the acting in concert Xu Huafang, Huai'an Xutian, and Huai'an Zhongtian, has been terminated. Previously, the transfer agreement was signed on October 7, 2024, but the shares had not yet completed the relevant transfer procedures. All parties signed a supplemental agreement on August 26, 2025, deciding to terminate the share transfer transaction and voluntarily bear the related costs incurred due to the termination of the transaction. The termination of this agreement transfer will not have any impact on the company's governance structure and ongoing operations.
