Starlight Entertainment: Plans to sell 99.66% equity of RCD Espanyol Club for 130 million euros.

Starlight Entertainment announced that its wholly-owned subsidiaries, Starlight Sports Limited and Starlight Games Limited, have signed an equity purchase agreement with VELOCITY SPORTS LTD to transfer a total of 99.66% of the shares of RCD Espanyol Club to VELOCITY. The transaction price is 130 million euros, with 65 million euros to be paid in cash and 65 million euros to be paid in shares of the buyer. After the completion of this transaction, VELOCITY will hold 99.66% of the shares of RCD Espanyol Club, while Starlight Games and Starlight Sports will collectively hold 38.26% of VELOCITY's Class A shares, accounting for 16.45% of VELOCITY's total share capital. This transaction is subject to approval by the shareholder meeting.
