Market Supervision Administration announces the decision on anti-monopoly review of the approval of NewSi Technology's acquisition of Ansi Technology's equity with additional restrictive conditions. In view of the potential anti-competitive effects of this operator concentration in the global and domestic Chinese optical software, photon software market, some EDA software market and design IP market, based on the additional restrictive conditions commitment plan submitted by the declarant, the Market Supervision Administration has decided to approve this concentration with additional restrictive conditions. The parties involved in the concentration and the post-concentration entity are required to fulfill the following obligations: (1) Divest optical solution related business, including NewSi Technology's entire optical and photon device simulation business. (2) Divest the business related to power analysis software, including Ansi Technology's research and development, distribution, licensing, sales, etc. related to power analysis software. (3) Comply with all existing customer contracts, including pricing and service level terms. They must not terminate existing customer contracts, not refuse to renew existing customer contracts with Chinese customers, and must fairly, reasonably, and non-discriminatorily supply NewSi Technology's EDA products and Ansi Technology's EDA products mainly used for parasitic analysis, transistor-level power integrity analysis, and power device analysis to Chinese customers. (4) They must not engage in any form of tying and bundling sales transactions, and must not hinder or restrict customers from separately purchasing or using relevant products from NewSi Technology or Ansi Technology, and must not discriminate against customers in terms of service level, price, or functionality. (5) They must continue to support industry standard formats supported by Ansi Technology's related EDA products or NewSi Technology's related EDA products mainly used for parasitic analysis, power device analysis, and transistor-level power integrity analysis. (6) They must continue to maintain and, upon request by Chinese customers, renew the existing interoperability agreements related to products. (7) Upon obtaining written support from Chinese customers, they must sign interoperability agreements with third-party EDA vendors as requested by the third-party EDA vendors.
