This transaction has been approved by the 4th Board of Directors meeting of the Company and does not constitute a related party transaction or a major asset restructuring. After the completion of the transaction, the Company will have the shareholder rights corresponding to the target shares and assume the corresponding obligations. Tianjin Wuzhe's operating income in 2024 was 7.9149 million yuan, with a net loss of -25.7997 million yuan.
