Yuanguang Software announced that its wholly-owned second-tier subsidiary, Zhixing Huida, plans to implement a capital increase and share expansion through a public listing on the Shanghai United Assets and Equity Exchange, with the proposed capital increase amount of no less than RMB 25 million. After the capital increase is completed, Zhixing Huida will no longer be included in the company's consolidated financial statements. Zhixing Huida was pre-listed on October 15, 2026, with a total listing period of no less than 40 working days. Shanglv Cloud, a wholly-owned subsidiary of the company's controlling shareholder State Grid Digital Technology, plans to participate in the delisting. If Shanglv Cloud successfully delists, this transaction will constitute a related-party transaction. This transaction does not constitute a major asset restructuring, and there is uncertainty regarding the counterparty, transaction price, and capital increase ratio.
