Anthropic plans to follow the Palantir model, giving the seven co-founders voting control to pave the way for an IPO.

Anthropic is asking shareholders to approve a new corporate structure that would grant CEO Dario Amodei and its six other co-founders a special class of shares giving them collective voting control over most company matters, according to people familiar with the matter. The new arrangement, modeled on Palantirs founder-controlled structure, would give the seven co-founders a combined 50.1% voting stake as long as three of them hold a minimum number of shares in the company, one of the people said. That would dramatically reshape Anthropics already unusual governance structure, shielding it from outside shareholder pressure after it goes public and cementing the influence of a founding team with a relatively small ownership stake. There is one important exception to the founders control: Appointing a majority of Anthropics seven-person board, which currently has one vacant seat, would remain with the companys long-term benefit trust. The trusts members, who are not shareholders, include former Federal Reserve chair Ben Bernanke, and advise the company on safety and societal issues. Under the proposed new structure, the trust would retain that power. Founders can currently appoint two directors. But under the new company structure, that would increase to three. The company is asking shareholders to approve the proposed plan in the coming days.
