Sofia announced that on November 28, 2025, the controlling shareholders Jiang Ganjun, Ke Jiansheng, and Ningbo Ruihe signed a share transfer agreement, transferring a total of 103,711,180 shares, accounting for 10.7690% of the total share capital. The transfer price was 18 yuan per share, totaling 1.867 billion yuan. The transfer registration was recently completed, with the transfer date set for December 23. After the equity change, Jiang Ganjun and Ke Jiansheng's combined shareholding decreased to 32.3072%, Ningbo Ruihe held 10.7690%, and their combined shareholding with Yingfeng Group was 12.7173%. This transfer does not involve a change in control rights. Ningbo Ruihe will nominate one non-independent director and commit not to reduce its holdings within 18 months.
