The impressive performance with substantial increases in both revenue and profit undoubtedly provides Mengxun Machinery with strong confidence as it sprints toward its US IPO.
According to Sullivan's estimates based on sales volume, in 20242025, the domestic localization rate of low-end CNC machine tools in China was approximately 96%, while the mid-range market was approximately 75%80%; in the high-end market, under a broad definition (domestic complete machine delivery, including some imported core components), the localization rate was approximately 20%22%. However, under the strict definition used by Qianzhan Industry Research Institute (where complete machines, high-end CNC systems, and core functional components all achieve independent controllability), the high-end localization rate remains only about 6%, and reliance on overseas high-end machine tools and systems has not yet been fundamentally reversed. This structural gap means that domestic high-end manufacturing segments still have sustained demand for imported precision machine tools. Mengxun Machinery, which has already embarked on the journey toward a U.S. listing, is a high-precision manufacturing industrial equipment trader that has grown by relying on this demand gap. It was observed that after confidentially submitting to the SEC on November 4, 2025, Mengxun Machinery publicly filed its F-1 registration statement for the first time on March 20, 2026, and April 30 marked Mengxun Machinery's second update to its prospectus. According to the latest version of the prospectus, Mengxun Machinery is applying to list on Nasdaq under the ticker "PNIG." In this IPO, the company plans to offer 5 million ordinary shares at a price of US$45 per share; an over-allotment option is also in place, with Cathay Securities as sole underwriter able to purchase an additional 15% of shares within 45 days, or up to 750,000 shares. This means that Mengxun Machinery's maximum fundraising amount, including the greenshoe option, is approximately US$28.75 million, which has reached Nasdaq's threshold requirement that China-related issuers raise at least US$25 million in an IPO. From a performance perspective, Mengxun Machinery has achieved rapid growth. In fiscal year 2025 (the 12 months ended August 31), the company's revenue was HK$124 million, up 66.8% year over year, and net profit was HK$6.3468 million, up 115.7% year over year. The impressive performance of substantial increases in both revenue and profit undoubtedly provides Mengxun Machinery with strong confidence as it sprints toward a U.S. IPO. Two newly added major customers drive rapid revenue growth, and two major factors accelerate profit release Mengxun Machinery was established in Hong Kong in 2015. The company initially engaged in the import and export of machine tools and automation equipment, earning channel spreads from overseas brands entering the Chinese market. According to the prospectus, Mengxun Machinery's sources of supply mainly come from first-tier Japanese, German, and Swiss brands such as FANUC, Makino, Kapp, and Willemin-Macodel, with a procurement network covering more than 30 countries worldwide. Mengxun Machinery's main customers are domestic high-precision manufacturing enterprises, including those in automotive, 3C electronics, automation, and other fields. The services provided by the company cover the entire project life cycle, from preliminary demand assessment and solution design to equipment procurement and installation, and then to long-term after-sales support and technical consulting. These services are intended to facilitate the effective implementation of the sold equipment at customer sites and are usually provided as part of complete machine sales rather than sold separately. While providing services covering the entire project life cycle, Mengxun Machinery has begun transforming into a "smart manufacturing solution provider," adding solution design, installation and commissioning, and MES and MPRS software integration on top of equipment delivery, and has built its own "Mengxun Smart Cloud Intelligent Manufacturing Platform V1.0." However, the transformation currently remains at the project-assistance level. The software is not charged separately and has not formed independent revenue, which means that Mengxun Machinery is essentially still a cross-border equipment service provider focused mainly on procuring overseas high-end machine tools with light integration as a supplement, which is also reflected in its revenue structure. In fiscal years 2024 and 2025, the proportion of Mengxun Machinery's revenue from industrial machinery trading was 98.6% and 100%, respectively. According to the prospectus, Mengxun Machinery's revenue growth of 66.8% to HK$124 million in fiscal year 2025 was mainly driven by large orders brought by two newly added major customers. It is worth noting that during the reporting period, Mengxun Machinery's net profit growth rate was 115.7%, nearly 50 percentage points higher than its revenue growth rate. This was mainly due to two reasons: First, gross margin improvement amplified the profit base. During the reporting period, thanks to the large individual order sizes from the two newly added major customers, a model mix skewed toward mid- to high-end configurations, slightly improved bargaining power with original manufacturers under scale procurement, and gross profit per project in inventory turnover being better than that of scattered orders, the company's gross margin rose from 9.44% to 10.50%, an increase of more than 1 percentage point. Second, expense ratios were diluted by revenue scale, and operating leverage release thickened profit. As a distributor, Mengxun Machinery operates under an asset-light model, with no large-scale R&D capitalization, and costs are relatively rigid. As long as revenue rises substantially, fixed selling/administrative costs are diluted. During the reporting period, Mengxun Machinery's expense ratio (selling expenses + general and administrative expenses) fell from 5.28% to 4.52%, which is the core leverage source behind the doubling of net profit. It can thus be seen that the core logic behind Mengxun Machinery's high performance growth is that, against a relatively low profit base, the company relied on two high-value newly added major customers to bring considerable revenue increment; combined with a slight improvement in gross margin and continued release of operating leverage, multiple factors jointly drove net profit growth far exceeding revenue growth. The dividend window is gradually narrowing, and the company seeks breakthroughs from three major dimensions Although Mengxun Machinery's high-growth performance boosts the company's fundamentals, investors also need to pay attention to the potential risks behind this, namely that the sustainability of the company's growth still needs to be tested by the market. Behind the apparent high growth in fiscal year 2025, two newly added major customers contributed the main increment, while revenue from the top five customers accounted for as much as 88.4%. This project-based jump brings high elasticity but also has a fragile side: once major customers slow capital expenditure or order rhythm is interrupted, the revenue curve will fluctuate significantly. At the same time, the window dividend in which Mengxun Machinery operates is gradually narrowing. According to the strict definition used by Qianzhan Industry Research Institute, in 20242025 the localization rate of high-end machine tools in China was only about 6%, and reliance on overseas high-end products has not yet been significantly reversed. However, China's "15th Five-Year Plan" has listed industrial mother machines as a strategically contested field, requiring that by 2030 the market share of domestically produced high-end CNC machine tools exceed 50%. Combined with the RMB200 billion-level special treasury bonds for equipment renewal and the hard target of a CNC rate of key processes exceeding 75% by 2027, high-end import substitution is a certain direction. This means that what Mengxun is currently benefiting from is the transitional dividend of "domestic high-end products not yet fully absorbing demand." Domestic automotive, 3C, and aerospace customers need high-precision five-axis and compound machining capabilities, yet for the time being cannot do without the credit of overseas brands, so they need an intermediary layer like Mengxun Machinery that "understands selection, can integrate, is willing to advance funds, and handles on-site commissioning." But the dividend window will not last forever. As China's high-end machine tool autonomy continues to advance, the space for pure trading intermediaries will be gradually squeezed. As a veteran player in the high-end machine tool trading field, Mengxun Machinery has long perceived the growth ceiling of intermediaries, so the company is accelerating its planning for a breakthrough, which can be corroborated by the use of IPO proceeds. Mengxun Machinery stated that approximately 40% of the net proceeds will be used to pay inventory procurement deposits. Mengxun Machinery needs to pay deposits to original manufacturers to lock in supply. This funding will not only ease the company's liquidity pressure but also broaden the depth of its supply chain, allowing it to further expand scale while retaining the advantage of overseas high-end supply sources and horizontally expanding brands and categories. At the same time, Mengxun Machinery will use approximately 25% of the net proceeds for R&D and upgrading its self-developed software platform. The company will accelerate the iteration of the "Mengxun Smart Cloud Intelligent Manufacturing Platform V1.0," improve the manufacturing execution system (MES), material and parts retrieval system (MPRS), and remote monitoring and data analysis modules, promote the company's transformation from an equipment trader to a solution provider, and realize the conversion of software from a project-assistance tool into an independently deployable and chargeable product, thereby creating a new growth curve for the company. In addition, Mengxun Machinery will use approximately 25% of the funds to expand its sales team and staffing, accelerate coverage of customers in segmented industries such as automotive, 3C, and automation, reduce dependence on a small number of major customers, and promote the transformation of its customer acquisition model from relying on core personnel to take orders toward team-based and scaled expansion. Overall, Mengxun Machinery plans to build its core competitiveness across multiple dimensions, including supply chain brand and category expansion, business model iteration, and sales team expansion, attempting to broaden long-term growth space during a cycle in which the dividend window for high-end machine tool imports is gradually narrowing. This plan also outlines a relatively clear long-term development blueprint for the market. However, whether the blueprint can be realized will ultimately have to withstand comprehensive tests of strategic execution capability, organizational management capability, and self-developed technological strength.
