Cig Shanghai (603083.SH) announced that on October 8, 2026, the Company entered into a Placing Agreement with Guotai Junan Securities (Hong Kong) Limited, Merrill Lynch (Asia Pacific) Limited, Citigroup Global Markets Limited, and Kaipan Securities Limited (collectively, the "Joint Placing Agents" or the "Managers") before the H-share trading session, and entered into a Subscription Agreement with the Managers before the H-share trading session.
Cig Shanghai (603083.SH) announced that on October 8, 2026, the Company entered into a Placing Agreement with Guotai Junan Securities (Hong Kong) Limited, Merrill Lynch (Asia Pacific) Limited, Citigroup Global Markets Limited, and Open Securities Limited (collectively, the "Joint Placing Agents" or the "Managers") before the H-share trading session, and entered into a Subscription Agreement with the Managers before the H-share trading session. The Company intends to place 18.446 million newly issued H Shares to qualified independent investors at a placing price of HK$105.16 per share (the "Placing Price"), and intends to issue convertible bonds with an aggregate principal amount of RMB 3.96 billion. Upon completion of the Bond Issue, the gross proceeds from the Bond Subscription will be approximately HK$4.635 billion, and after deducting the estimated expenses payable for the Bond Issue, the net proceeds from the Bond Subscription will be approximately HK$4.606 billion. Approximately 55% of the gross proceeds will be used to enhance the production capacity of optical module products, approximately 30% will be used for strategic investments in selected upstream enterprises, and approximately 15% will be used for general corporate purposes and to replenish the Group's working capital.
