BGMC(01693)Major shareholder liquidates the exit, and the unanimous action arrangement is terminated.

BGMC(01693) announced that Wu Mingzhang's wholly-owned Jiefeng transferred 13.68 million shares to Ms. Lai Mingchun at a price of HK$2.3 per share, and transferred 4.32 million shares to Mr. Koh Kin Lip on April 9, 2026. Following the completion of the transfer, both buyers collectively hold more than 5% of the total issued shares. Wu Mingzhang no longer directly or indirectly holds any shares of the company or any rights to the shares, while Zheng Guoli's interest in the company through Seeva has decreased from approximately 31% to 8.58%. In addition, Zheng Guoli and Wu Mingzhang entered into a termination agreement on May 7, 2026, to terminate the joint action confirmation agreement as stipulated. After the transfer is completed, Seeva and Mr. Zheng (whether jointly or individually) no longer have the right to exercise more than 30% voting rights at the company's shareholders' meeting and are therefore no longer the controlling shareholder of the company.
