China Securities Regulatory Commission Releases "Regulations on the Supervision of Corporate Secretaries of Listed Companies"
China Securities Regulatory Commission introduced and released the "Regulations on the Supervision of Corporate Secretary of Listed Companies", which will be implemented starting from May 24, 2026.
China Securities Regulatory Commission (CSRC) has formulated and issued the "Regulations on the Supervision of Board Secretaries of Listed Companies" (referred to as the "Board Secretary Regulations"), which will take effect from May 24, 2026. The main contents of the "Board Secretary Regulations" include: defining the scope of responsibilities, specifying the specific responsibilities of board secretaries in information disclosure, corporate governance, internal and external communication, etc.; strengthening accountability, requiring listed companies to establish a mechanism for regular evaluation and accountability of board secretaries' performance, and taking strict regulatory measures or penalties for instances of illegal activities where a board secretary has not fulfilled their duties diligently.
The "Board Secretary Regulations" also aim to ensure the effective performance of board secretaries by providing safeguards in various aspects such as information acquisition, performance platforms, and remedies for violations, and by improving appointment management. The transition period for compliance with the "Board Secretary Regulations" is set until December 31, 2027, during which any inconsistencies with the regulations should be gradually adjusted to comply with the requirements.
Prior to the promulgation of the "Board Secretary Regulations," the CSRC solicited public opinions from various stakeholders, and after careful consideration and modifications, the regulations were finalized with overall support from the public.
Looking ahead, the CSRC will work on the implementation of the "Board Secretary Regulations" to promote the active role of board secretaries and enhance the governance level of listed companies.
