KAISA JiaYun Technology Inc. (300242.SZ) announced that the company plans to transfer 100% equity of its wholly-owned subsidiary Beijing Jinyuan Interactive Technology Co., Ltd. (referred to as "Jinyuan Interactive") to Cheng'An Gaoke (Beijing) Technology Consulting Co., Ltd. (referred to as "Cheng'An Gaoke") in order to optimize resource allocation, improve business structure, reduce operating costs, and enhance operational efficiency. After the completion of this transaction, the company will no longer hold any equity in Jinyuan Interactive, and Jinyuan Interactive will not be consolidated into the company's financial statements.
As of now, Jinyuan Interactive's subsidiary, Beijing Duocai Interactive Advertising Co., Ltd. (referred to as "Duocai Interactive"), still owes the company a loan of 8 million RMB. Cheng'An Gaoke is willing to acquire the aforementioned debt. In agreement with Cheng'An Gaoke, the company plans to transfer 100% equity of Jinyuan Interactive and the aforementioned debt to Cheng'An Gaoke at a price of 10 million RMB.
