Recodeal: Chairman proposes repurchasing 50 million yuan to 100 million yuan of company shares.
Ruikecheng announced that on October 16, 2026, the company received a letter from Chairman Wu Shijun proposing a share repurchase. The company plans to use its own funds to repurchase A-shares through centralized bidding, with the total repurchase amount no less than RMB 50 million and no more than RMB 100 million. The repurchase price shall not exceed 150% of the average trading price of the company's shares over the 30 trading days prior to the board of directors' resolution approving the repurchase plan. The repurchase period shall be within 12 months from the date the board of directors deliberates and approves the repurchase plan. The repurchased shares are intended to be used for employee stock ownership plans, equity incentives, or conversion, and if not fully transferred within three years, they will be canceled in accordance with law. Within the 6 months prior to the proposal, Wu Shijun reduced his holdings of Ruike convertible bonds by 1,231,300 units through block trades, accounting for 12.31% of the total issuance. During the repurchase period, there is currently no plan to increase or decrease his holdings of the company's shares, and he has committed to voting in favor of the repurchase proposal at the board of directors meeting. This repurchase matter still requires deliberation and approval by the board of directors and is subject to uncertainty.
