Tongcheng Holdings: The transfer of state-owned shares held by the controlling shareholder for free is still in progress.

Tongcheng Holdings announced that, in accordance with the decision-making arrangements of the Changsha Municipal Party Committee and Municipal Government, the Changsha State-owned Assets Supervision and Administration Commission intends to transfer all the equity held by the controlling shareholder Tongcheng Group to Changsha State-controlled Group for free. On October 8, 2024, the three parties signed the "State-owned Equity Transfer Agreement" . As of April 13, 2026, the transfer of the shares for free had not been completed, and related matters are still in progress. The company will continue to monitor the progress and disclose it in a timely manner.
