Black Sesame: Multiple directors resign, simultaneously nominate new director candidates

Black Sesame announced that there has been a change in the controlling shareholder and the company plans to re-elect members of the 11th Board of Directors. Recently, independent directors Ye Zhifeng, Liang Geff, and non-independent director Li Yujun have resigned, with Cheng Fuliang and Li Jianjun's resignations taking effect, while the others are waiting for new directors to be elected. Currently, Li Wenquan, Cheng Fuliang, and Li Jianjun hold 300,000, 570,000, and 600,000 shares respectively. Li Yujun and 4 others who have resigned are still working in the company. On January 28, 2026, the Board of Directors agreed to nominate Zheng Yukun and Ge Jing as independent director candidates, and Xie Shi and 4 others as non-independent director candidates, pending approval at the shareholders' meeting.
