Mingde Biotechnology announced that the third meeting of the fifth board of directors of the company approved the proposal to increase capital and acquire the equity of Lanyi Medical Devices Co., Ltd. The company will acquire 51% of the equity of Hunan Lanyi held by Lanyi Group in the first phase with a cash payment of 35.701 million yuan through capital increase and equity acquisition. At the same time, Jiashan Hexin will acquire a portion of the equity held by Lanyi Group, with a shareholding ratio of 20% after the first phase of acquisition. If the operation of Hunan Lanyi meets the agreed conditions in the years 2026-2028, the company will further acquire its remaining equity. The board of directors has authorized the management to handle relevant matters, and the company has signed acquisition agreements with the parties involved.
