Guosheng Investment intends to acquire 106,730,000 A-shares of the company held by Fuxin Fangao through an agreement transfer, accounting for 12.99% of the total number of Fudan Micro shares. After this transfer is completed, Guosheng Investment will become the largest shareholder of Fudan Microelectronics. Fudan Microelectronics will remain in the state of non-controlling shareholder and no actual controlling person, will not have a significant impact on the operation and management of Fudan Microelectronics, and will not involve a tender offer.
