This transaction constitutes a related party transaction, which has been approved by a special meeting of independent directors and the 22nd meeting of the fifth board of directors and the 16th meeting of the fifth board of supervisors of the company. The related directors have recused themselves from voting, so there is no need to submit the transaction for approval at the company's shareholders' meeting. After the completion of the transaction, Ma'anshan Haosheng will become a wholly-owned subsidiary of the company.
