Yu Garden Corporation: Intends to transfer 100% equity of Ningbo Xingjian to Ningbo Plastics, with a transaction price of 150 million yuan.

Yuyuan Group announces that Yuyuan Group and its subsidiaries plan to transfer 100% equity of Ningbo Xingjian Asset Management Co., Ltd. held by Ningbo Plastics Co., Ltd., as well as the debt rights of Ningbo Xingjian as of November 20, 2025, with a total transaction price of 150 million yuan. The equity transfer price is 91.7881 million yuan, and the debt transfer price is 58.2119 million yuan. After the transaction is completed, Yuyuan Group will no longer hold equity of Ningbo Xingjian, and Ningbo Xingjian will no longer be included in the consolidated financial statements.
