In order to promote the construction of first-class scientific journals, accelerate the innovative development of the company's scientific journal business, the company plans to invest 200 million RMB to establish a wholly-owned subsidiary, "Beijing Zhongke Media Co., Ltd." and transfer 100% equity of China Sci-Tech Press's subsidiary "China Science" Magazine Co., Ltd., 100% equity of Beijing Zhongke Periodical Publishing Co., Ltd., 51% equity of Beijing Keaisenlan Cultural Communication Co., Ltd., CSPM Europe SAS and its subsidiary Edition Diffusion Press Sciences SAS to the newly established Beijing Zhongke Media Co., Ltd. The equity transfer reference date is December 31, 2024.
