Jintian Corporation: The actual controller has changed to Lou Guoqiang and Lou Cheng.

Jintian Corporation announced that the actual controllers, Lou Guoqiang, Lu Xiaomi, along with their son Lou Cheng and daughter Lou Jingjing, have signed an agreement. Lu Xiaomi will transfer his 50.7862% stake in the company's controlling shareholder Jintian Investment to Lou Cheng for free; Lou Guoqiang will transfer his 19.9594% stake in Jintian Investment to Lou Cheng for free, and 8.2018% stake to Lou Jingjing for free. After this equity change, Lu Xiaomi and Lou Guoqiang will no longer hold any stake in Jintian Investment, while Lou Cheng will hold 70.7456% and Lou Jingjing will hold 8.2018%. This equity change is an adjustment of the ownership structure within the actual controllers' family and does not involve any change in the shares held by Jintian Investment, and does not trigger a mandatory offer. Jintian Investment remains the controlling shareholder, while the actual controllers change from Lou Guoqiang, Lu Xiaomi, and Lou Cheng to Lou Guoqiang and Lou Cheng, with no change in the total number or proportion of shares held by the company.
