Information from the Zhitong Finance and Economics APP: Onda Holdings (09929.HK) and the offeror Yaoji Capital Limited jointly announced that on November 26, 2025, the offeror completed the acquisition of 1.5 billion shares of SEM Enterprises Limited, equivalent to 75% of the total number of shares issued as of the date of this joint announcement, for a total cash consideration of 165 million Hong Kong dollars (i.e. 0.11 Hong Kong dollars per share). Following the completion and as of the date of this joint announcement, the offeror and its concerted parties hold 75% of the company's shares. Pursuant to Rule 26.1 of the Takeover Code, the offeror must make a mandatory unconditional cash offer to acquire all the issued shares of the company (excluding shares already owned or agreed to be acquired by the offeror and its concerted parties) at a price of 0.11 Hong Kong dollars per share, representing a premium of approximately 6.36% over the closing price of 0.103 Hong Kong dollars per share on the last trading day on the Stock Exchange. The company has applied to the Stock Exchange for the resumption of trading in its shares from 9:00 a.m. on December 4, 2025.
