The cooperation agreement was entered into after the two parties signed a cooperation memorandum on August 7, 2025 (as a transaction that meets the minimum exemption level under the listing rules). Under the cooperation memorandum, the group has obtained the exclusive rights to commercially operate licensed products in China during the transition period until the two parties formally sign the cooperation agreement. The cooperation memorandum has been replaced by the cooperation agreement and automatically terminated on December 3, 2025.
