Industrial Bank Announcement: The wholly-owned subsidiary of the company, Tibet Shannan Antimony Gold Resources Co., Ltd., signed a "Stock Transfer Agreement" with Weiling New Energy Co., Ltd. on November 28, 2025. Shannan Antimony Gold used its own funds to purchase 17,425,340 shares and 2,808,444 shares of Shanghai Lingyi New Materials Co., Ltd. and Wenping respectively. After the completion of the acquisition, Shannan Antimony Gold will hold a total of 20,233,784 shares of the target company, accounting for 7.7646% of its total share capital. The transaction price for this acquisition of the target company is 15.21 yuan per share, with a total transaction amount of 307,755,854.64 yuan. After the acquisition, Shannan Antimony Gold will become the largest shareholder of the target company. The main business of the target company includes the mining of tungsten, tin, lead, and zinc polymetallic ores, lithium ore dressing, the processing and smelting of basic lithium battery raw materials lithium salt.
