ZYY (08223) Announces Partnership with Shensu Holdings, Plans Joint Venture to Enter Token Digital Trade, AI Medical Computing Power, and AI Energy ZYY (08223) issued an announcement that on October 23, 2026, the Company, ZYY Holdings Group Limited, and Shenzhen Shensu Holdings Co., Ltd. (Shensu Holdings) entered into a cooperation framework agreement (the Framework Agreement) in respect of cooperation in token digital trade, the upstream and downstream industries of AI medical computing power, and the AI energy sector. Pursuant to the Framework Agreement, the parties intend to carry out cooperation in the following three directions: (1) Token digital trade: trade in AI tokens and related digital assets; (2) Upstream and downstream industries of AI medical computing power: construction and operation of AI medical computing power infrastructure, computing power and model services, and related applications and solutions; (3) AI energy: integrated energy services for intelligent computing centers and data centers, and the application of AI technology in energy management and operations and maintenance. The parties also intend to jointly invest in and establish a joint venture company as the platform for the above cooperation. The specific cooperation projects and arrangements shall be subject to separate written confirmation by the parties. The Board believes that entering into the Framework Agreement will enable the Group to combine its advantages in industrial resources, capital operations, and business scenario integration with Shensu Holdings' technical capabilities in AI computing power scheduling and AI algorithm and system integration, so as to jointly explore business opportunities in the AI medical computing power and AI energy sectors, thereby broadening the Group's business foundation and revenue sources. The Framework Agreement was entered into by the parties after fair negotiation on an arm's length basis. The Board considers that its terms are fair and reasonable and that entering into the Framework Agreement is in the overall interests of the Company and its shareholders.
