ELATE HOLDINGS (00076) announced that on October 15, 2026, Cityhill Limited, a wholly-owned subsidiary of the Company, intends to acquire 69% of the entire issued share capital of AOMI Corporation from Han Carvestone International Limited, for a maximum consideration of approximately HK$754 million, of which HK$534 million will be settled in MUP and gold bars at completion, and the balance (if any) will be paid in MUP, subject to an adjustment mechanism. Since 2025, the Group has been exploring the development of third-generation internet-related projects, including the establishment of a trading platform for bulk commodities and other goods. GoMeta Limited was incorporated for this purpose. If the acquisition is completed, it will become the starting point and foundation for the Group to establish a trading platform equipped with artificial intelligence and directly connected to consumers for the sale and delivery of food, daily necessities and services. The target company holds 98.75% equity interest in MED, and MED operates a leading and fast-growing delivery business in Macau and Zhuhai, China, through the Aomi online shopping platform. The Company believes that the Aomi online shopping platform has a mature business model and advanced platform technology, supported by a professional R&D team of more than 100 people. The Aomi online shopping platform has independently developed all of its business software systems and holds multiple intellectual property rights, including utility model patents, design patents, software copyrights and trademarks. The Directors believe that the acquisition will enable the Group to broaden its revenue base and enhance its technical capabilities, in particular providing technical support for the platform-based transformation of its graphite business. Upon completion, the Group plans to gradually expand Aomi's business beyond Macau. The Group's joint venture, GoMeta Limited, will be able to combine its existing technologies (primarily artificial intelligence) with the platform capabilities of the Aomi online shopping platform, thereby enhancing data synergies, improving user operating efficiency and expanding the categories of local life services. At the same time, this is expected to accelerate the transformation of the Group's graphite business toward a digital and intelligent platform model by developing a digital trading platform for graphite products, and to enhance the Group's ability to capture opportunities arising from the development of artificial intelligence. Following the acquisition, the Group will continue to take the development of its graphite business as its core strategy and expand its graphite product trading, supply chain management and related businesses. The primary purpose of the acquisition is not merely to operate the target company's existing local life services business, but to acquire its established and market-validated digital platform capabilities (including a mature software platform, trading system, platform operating experience, software development capabilities and professional team), thereby laying the foundation for the Group to establish a digital trading platform, promote the digital transformation of its graphite business and develop a smart supply chain. The Board believes that, compared with the Group developing a brand-new digital platform on its own, the target company has an established mature platform architecture, software systems and operating framework, and possesses the technical capabilities to develop and maintain large-scale digital platforms. These platform capabilities have been validated through years of commercial operation and can provide a reliable foundation for the Group's future digital platform development, so as to shorten the development cycle, reduce construction costs and minimize project execution risks. The Board believes that these capabilities are not limited to a specific industry and can be further applied to various types of trading platforms; the Group intends to leverage these mature capabilities to accelerate the digital transformation of its graphite business. Upon completion of the acquisition, the Group plans to gradually introduce artificial intelligence technologies (including intelligent trade matching, price analysis, demand forecasting, inventory management, logistics optimization and collaborative supply chain management) to further improve platform efficiency. These technologies will be gradually applied to graphite product trading and supply chain management to enhance the overall competitiveness of the Group's existing graphite business.
