In the view of Wall Street analysts, the likelihood of a merger between Starbucks and Chipotle Mexican Grill is low.
According to media reports citing people familiar with the matter, global coffee chain giant Starbucks Corporation (SBUX.US) has been working with advisors in recent months to study a potential acquisition plan for U.S. Mexican-style restaurant chain Chipotle Mexican Grill (CMG.US). The deal is intended to combine two well-known American consumer brands and, if completed, would become the largest merger in the history of the restaurant industry. The report also noted that it is currently unclear how far Starbucks Corporation's potential acquisition plan has progressed. Given the potentially enormous size of the transaction, the acquisition may ultimately fail to move forward. Therefore, the discussions remain highly uncertain, and it is not yet possible to determine whether the two sides will reach a formal deal. In the view of Wall Street analysts, a merger between Starbucks Corporation and Chipotle Mexican Grill is unlikely. RBC Capital analyst Logan Reich believes that the strategic logic for Starbucks Corporation to acquire Chipotle Mexican Grill is not clear, as the two companies have limited business overlap. He pointed out: "We believe there may be some synergies between the two companies in general and administrative expenses and supply chain optimization, but these synergies are not sufficient to justify an acquisition." BTIG analyst Peter Saleh said the firm's initial reaction to this "blockbuster deal rumor" in the restaurant industry is highly skeptical, because the transaction does not make much sense from a supply chain or operational perspective. Peter Saleh noted that the deal would also likely cause severe earnings-per-share dilution for Starbucks Corporation shareholders and, from a management perspective, would create very significant disruption for both brands. He added: "Although there are many reasons to oppose this deal, we believe that using Starbucks Corporation's coffee products to provide a breakfast business for Chipotle Mexican Grill is the only persuasive rationale for pursuing the transaction." However, any form of breakfast business launch by Chipotle Mexican Grill is seen as facing a series of challenges, including the company's lack of drive-thru locations, the possibility that breakfast would cannibalize lunch and dinner business, operational complexity, and the broad difficulties inherent in entering the breakfast-daypart market. TD Cowen analyst Andrew Charles and his team also believe that at this stage, the potential transaction is unlikely to occur. Andrew Charles noted in a latest report: "We believe Brian Niccol's top priority at Starbucks Corporation has always been executing the 'Back to Starbucks' U.S. business turnaround plan, and pursuing an acquisition worth more than $44 billion (the base-case scenario assumes no acquisition premium) seems inconsistent with that goal. However, we also understand why Brian Niccol would evaluate Chipotle Mexican Grill, because he is very familiar with the business and has a relevant track record." It is understood that Brian Niccol previously served as CEO of Chipotle Mexican Grill for six years and built his industry reputation there. After he left Chipotle Mexican Grill in August 2024, the company's stock price has nearly halved. Now, under Brian Niccol's leadership, Starbucks Corporation is in the early implementation stage of the "Back to Starbucks" recovery strategy, with same-store sales and profits continuing to recover and the strategic results gradually emerging. Brian Niccol's reform measures include adding more baristas, launching new food items, improving service speed, and renovating stores. He also poached two former executives from Chipotle Mexican Grill, respectively responsible for marketing and store expansion.
