CNBM (03323): China United Investment subscribes to 15.9562 million shares of Sinoma Science & Technology
China National Building Material (03323) announces that China United Investment (a wholly-owned subsidiary of the Parent, which is the controlling shareholder of the Company) has entered into a non-legally binding share subscription agreement with Sinoma Science & Technology (a non-wholly-owned subsidiary of the Company listed on the A-share market) in respect of the proposed placement of new shares by Sinoma Science & Technology for a cash consideration.
CNBM (03323) announces that China United Investment (a wholly-owned subsidiary of the parent company, which is the controlling shareholder of the Company) and Sinoma Science & Technology (a non-wholly-owned subsidiary of the Company listed on the A-share market) have entered into a indicative share subscription agreement in respect of the proposed placement of new shares by Sinoma Science & Technology for a cash consideration.
On October 8, 2026, after completing the relevant filing procedures with the Shenzhen Stock Exchange, Sinoma Science & Technology announced the results of the placement. According to the issuance results, a total of 87,181,900 subscription shares will be issued at an issue price of RMB51.40 per subscription share. Of these, 15,956,200 subscription shares will be subscribed by China United Investment pursuant to the final share subscription agreement at a consideration of approximately RMB820 million, and the remaining 71,225,700 subscription shares will be subscribed by 14 independent subscribers pursuant to their respective subscription agreements. The subscription will be completed after the registration of the subscription shares with China Clear.
The subscription will help raise funds for Sinoma Science & Technology's project and working capital needs.
