GUSHENGTANG (02273): Acquisition of 100% equity in YC TCM (TAMAN SEGAR) SDN. BHD., YC TCM SDN. BHD., and SWS MEDICAL SDN. BHD.

GUSHENGTANG (02273) announced that on August 27, 2026, its subsidiary Gushengtang Malaysia Sdn. Bhd. (Gushengtang Malaysia) entered into a sales agreement with the shareholders of YC TCM (Taman Segar) Sdn. Bhd. (YC TCM SEGAR), YC TCM Sdn. Bhd. (YC TCM), and SWS Medical Sdn. Bhd. (SWS Medical) (collectively referred to as the Sellers). Gushengtang Malaysia agrees to purchase, and the Sellers agree to sell, 100% equity interest in YC TCM SEGAR, YC TCM, and SWS Medical. YC TCM SEGAR, YC TCM, and SWS Medical are medical institutions primarily engaged in providing Traditional Chinese Medicine consultation and treatment services in Malaysia. The acquisition aligns with the Group's expansion strategy to broaden its offline medical institution network through acquisitions, on the premise that the Company believes the aforementioned acquisition will (including but not limited to) (i) increase the Companys market share in Malaysia; and (ii) create synergies between YC TCM SEGAR, YC TCM, and SWS Medical and the Group's other offline medical institutions and online medical platforms.
