The company plans to issue 8.1 million shares at a price of $14 to $17 per share, aiming to raise $125 million. It intends to list on the NASDAQ under the ticker symbol GVTX.
As part of this NASDAQ IPO transaction, Gravitics will merge with the publicly traded shell company Non-Invasive Monitoring Systems (NIMU.US), which had previously been engaged in the development of a non-invasive whole-body periodic acceleration therapy platform. The latter ceased operations in 2019 and has since been seeking a reverse merger partner. Following the merger, the surviving entity will be renamed Gravitics Holdings.
Gravitics was founded in 2021 and is engaged in the design, development, and commercialization of large space structures, including orbital vehicles, cargo logistics spacecraft, space station modules, and related engineering and technical services. The company's primary client base includes government entities and the commercial space industry. Gravitics emphasizes its $125 million fixed-price contract with its affiliate Axiom Space for the development and delivery of cargo vehicles that will dock with Axioms commercial space station. Data indicates that the company achieved revenue of $400,000 in the 12 months ending March 31, 2026.
