China National Building Material (03323) announced that on August 14, 2026, China National Materials High-tech (an associate of the company and an indirect non-wholly-owned subsidiary of the parent company) entered into this capital increase agreement and supplemental agreement with the company, North New Building Materials (a subsidiary of the company), the General Institute of Building Materials (a subsidiary of the parent company), China United Investment (a subsidiary of the parent company), and other Party B, Party C, and Party D shareholders.
CNBM (03323) announced that on August 14, 2026, China National Materials High-Tech (a joint company of the company and an indirect non-wholly-owned subsidiary of the parent company) has signed the capital increase agreement and supplementary agreement with the company, Beijing New Building Materials Public (a subsidiary of the company), the General Research Institute of Building Materials (a subsidiary of the parent company), China United Investment (a subsidiary of the parent company), and other Party B, Party C, and Party D shareholders. According to this capital increase agreement, the participating Party B, Party C, and Party D shareholders agree to increase the capital of China National Materials High-Tech at a price of RMB 10.07 per share (which can be contributed in cash or equity valuation), with a total capital increase amount of approximately RMB 98.34 million. After the completion of this capital increase, the registered capital of China National Materials High-Tech will increase from approximately RMB 503 million to approximately RMB 601 million. China National Materials High-Tech will continue to be a joint company of the company and an indirect non-wholly-owned subsidiary of the parent company.
This capital increase is in line with the companys "14th Five-Year" development strategy, and the target sector is of high quality with strong growth potential, which will help China National Materials High-Tech operate steadily and solidify the funding guarantee for its development.
