RSUN SER (01971) announces that on May 20, 2026, the company received a letter from shareholders requesting the convening of a general meeting, along with a copy of the minutes of the extraordinary general meeting purportedly signed by Ms. WONG Wing Sze Tiffany as the Chairperson of the extraordinary general meeting. According to the letter and purported meeting minutes, the extraordinary general meeting was purportedly held on May 19, 2026 at 4:00 pm with the required number of shareholders present. It was specified that shareholders present at the extraordinary general meeting unanimously resolved to adjourn the meeting to May 28, 2026 (Thursday) at 4:00 pm, to be held at Room 1006, 10th Floor, Saint George's Building, 2 Ice House Street, Central, Hong Kong (continuation of the extraordinary general meeting). As recorded in the purported meeting minutes of the extraordinary general meeting, the adjournment was indicated in order to rectify procedural deficiencies regarding the election of directors and to ensure compliance with the company's constitutional rules. On the date of the extraordinary general meeting, the total number of issued shares of the company was 415 million shares, giving holders the right to attend the meeting and vote on any resolution. The company did not hold any treasury shares on the date of the meeting. There were no shares giving holders the right to attend the meeting and abstain from voting on any resolutions as per Rule 13.40 of the Listing Rules. Based on the purported meeting minutes of the extraordinary general meeting and the limited information provided by shareholders, the company noted that apart from approving the resolution to adjourn the meeting, no other matters were addressed at the extraordinary general meeting. Zookal Securities Registrars Limited acted as the poll taker at the meeting. There was no information available on the method of voting for the adjournment resolution. Although Ms. WONG Wing Sze Tiffany had requested shareholders (joint registered holders of a total of 285 million shares of the company) to attend and vote at the extraordinary general meeting, the company is currently unable to determine the actual total number of shares represented by shareholders present at the meeting and voting on resolutions. The directors did not attend the extraordinary general meeting (whether in person or electronically). The board of directors will seek further legal advice on the validity of the adjournment and the voting results of the continuation of the extraordinary general meeting (including any resolutions passed at the continuation). The board will closely monitor developments and, if necessary or appropriate, issue announcements on any material developments in accordance with the Listing Rules. In an attempt to comply with Article 113 of the company's constitutional rules, shareholders were formally requested, in a letter dated May 20, 2026, to confirm their intention to nominate Mr. TAI Shaw Hoong as an executive director of the company, and Mr. Cosimo BORRELLI, Mr. Donald Edward OSBORN, and Ms. CHI Lai Man Jocelyn as independent non-executive directors. Shareholders were also asked to include consent letters signed by the proposed directors, confirming their willingness to be appointed as directors of the company. As updated information has been provided on the adjournment of the extraordinary general meeting and other matters, the company has applied to the Stock Exchange to resume trading of the company's shares on May 27, 2026 (Wednesday) onward.
