The subscription shares represent approximately (i) 3.92% of the company's issued share capital as at the date of this announcement; and (ii) 3.78% of the enlarged issued share capital of the company after the completion of the issue and allotment of the subscription shares (assuming no change in the total number of issued shares from the date of this announcement to the completion date, excluding the issue of subscription shares). The subscription price of HK$0.107 per share represents a discount of approximately 15.08% compared to the closing market price of HK$0.126 per share on the Stock Exchange on 29 April 2026. After deducting expenses, the estimated net proceeds from the subscription are approximately HK$6.89 million. Based on this, the net price per share of subscription shares will be approximately HK$0.105. The company intends to use the net proceeds from the subscription for its working capital.
