ZYBANK (01216) Announcement: Mr. Guo Hao, Chairman and Executive Director of the Bank, submitted his resignation to the Board of Directors on April 21, 2026, due to work relocation. He resigned from the positions of Chairman, Executive Director, Chairman of the Board Strategic Development Committee, and Authorized Representative of the Bank under Rule 3.05 of the Securities Listing Rules of the Hong Kong Stock Exchange. His resignation is effective from the date the resignation was submitted to the Board on April 21, 2026. After resignation, Mr. Guo will not hold any positions in the Bank. On April 21, 2026, Mr. Zhou Feng was elected as the Chairman of the Bank and Chairman of the Strategic Development Committee at the Board meeting. The appointment as Chairman of the Strategic Development Committee is effective from the date of this announcement, and the appointment as Chairman is effective from the date when Mr. Zhou's qualification as Chairman is approved by the Henan Regulatory Bureau of the China Banking and Insurance Regulatory Commission. Mr. Zhou's term of office in these positions will end at the third Board of Directors changeover of the Bank, and he may stand for re-election. From April 21, 2026, Mr. Zhou will no longer serve as Vice Chairman of the Bank. Mr. Zhou has also been appointed as the Authorized Representative of the Bank under Rule 3.05 of the Hong Kong Stock Exchange Listing Rules, effective from April 21, 2026. Due to work adjustment, Mr. Zhou Feng will no longer serve as President of the Bank, effective from April 21, 2026. On April 21, 2026, the Board of Directors has approved the appointment of Mr. Zhang Tao as President of the Bank and recommended his appointment as an Executive Director of the third Board of Directors. The qualification of Mr. Zhang as President of the Bank is pending approval from the Henan Regulatory Bureau, and the proposed appointment will need approval from the shareholders at the Bank's shareholders' meeting and approval of his qualification by the Henan Regulatory Bureau before it can be effective.
