COUNTRY GARDEN (02007) issued and distributed 36 million additional shares of coordinating committee work expenses to GLAS HK.

Country Garden (02007) announced that the company issued 135.6 million shares (committee work fee shares) to GLAS HK at an issue price of HK$0.40 per share on December 30, 2025 under a general authorization. As per the company's instructions, GLAS HK has sold 50 million shares of committee work fee shares on the date of this announcement, and the net proceeds from the sale (after deducting all costs, expenses, charges, and taxes related to the sale and use of the proceeds from the sale) amount to HK$17.5168 million (equivalent to approximately US$2.2429 million), which will be fully paid to the committee to settle the committee work fee. Based on the current stock price, the company estimates that the net proceeds from the sale of the remaining 85.5914 million shares of committee work fee shares will not be sufficient to fully pay the committee work fee after deducting the related costs. As the net proceeds from the sale of the committee work fee shares are expected to be insufficient to fully pay the committee work fee after deducting the costs related to the sale, the board of directors approved on March 9, 2026 to issue and distribute an additional 36 million shares of extra committee work fee shares (together with the committee work fee shares, collectively referred to as "committee work fee shares under general authorization") to GLAS HK at an issue price of HK$0.30 per share. GLAS HK will sell the additional committee work fee shares as soon as practicable to settle the outstanding committee work fee.
