Yingde Real Estate (00432) announced that on the announcement date, the Group acquired and operated Midtown Niseko in Japan through a target company. On February 13, 2026, the seller, Jia Yue Investment Limited (a wholly-owned subsidiary of the Company), entered into a share sale agreement with the buyer, Ryugu Holdco Pte. Ltd., for the sale of the sale shares (i.e. all issued share capital of the target company) and shareholder loans, at a price of USD 80 million, in accordance with the terms and conditions of the share sale agreement.
The PCPD(00432) announcement states that, on the announcement date, the group acquired and operated Midtown Niseko in Japan through the target company. On February 13, 2026, the seller Jia Yue Investment Limited (a wholly-owned subsidiary of the company) entered into a share sale agreement with the buyer Ryugu Holdco Pte. Ltd., regarding the sale of the target company's entire issued share capital and shareholder loans, for a price of 80 million US dollars. It is reported that the target company, Triple8 KK (), is a company established under Japanese law. The target company owns and operates Midtown Niseko, an ecological hotel in Japan located at Niseko Hirafu, 4-jo 1-3-3, Kutchan-cho, Abutagun, Hokkaido. Considering the recent property market situation in Japan, the sale provides the group with a timely opportunity to optimize its property portfolio, realizing the group's investment in Midtown Niseko at an attractive valuation and generating a significant cash income, thereby enhancing financial flexibility. The board of directors currently expects to use the net proceeds from the sale to strengthen the group's financial position, including (i) reducing the group's liabilities to lower ongoing borrowing costs and allocate more resources to ongoing and potential residential projects in Japan, Thailand, and Hong Kong; and (ii) enhancing operating capital, including but not limited to employee costs, rent, and other indirect expenses. Consequently, this will enable the group to identify and seize other new business opportunities when appropriate opportunities arise.
