CENTRALCHINA MT (09982) announces that on January 23, 2026, the company's controlling shareholder Joy Bright Investments Limited (Joy Bright) (wholly owned by Mr. Hu Baosen, chairman and non-executive director of the company) as the seller, entered into a sale and purchase agreement with King Link International Investment Limited (buyer) (wholly owned by Mr. Huang Yongheng). The seller agreed to sell a total of approximately 386.6 million shares of the company to the buyer, equivalent to approximately 10.00% of the company's issued share capital, for a consideration of approximately HK$398.159 million. The sale transaction will be completed shortly after the agreement date. Following the completion of the transaction, Joy Bright will have beneficial ownership of approximately 1.358 billion shares, equivalent to approximately 35.13% of the company's issued share capital. Therefore, Joy Bright remains the company's controlling shareholder and largest shareholder. The buyer will hold approximately 10.00% of the company's issued share capital and become a major shareholder of the company.
