TOPSTANDARDCORP (08510) announces that on December 5, 2025, the Company has entered into a subscription agreement with the subscriber, Focus Dynamic Group Limited. The subscriber has conditionally agreed to subscribe, and the Company has conditionally agreed to issue and allot a total of 39.8131 million subscription shares at a subscription price of HK$0.10 per share. The subscription shares represent approximately 20.0% of the Company's issued share capital as of the date of this announcement, and approximately 16.7% of the Company's enlarged issued share capital after the completion of the subscription (assuming no change in the total number of issued shares from the date of this announcement to the completion date, excluding the issue of subscription shares). The total face value of the subscription shares will be HK$3.9813 million, with a market value of HK$4.6979 million, calculated based on the closing price of HK$0.118 per share on the subscription agreement date. The subscription price of HK$0.10 per share is at a discount of approximately 15.25% to the closing price of HK$0.118 per share reported by the Stock Exchange on the subscription agreement date, and approximately 19.35% discount to the closing price of approximately HK$0.124 per share reported by the Stock Exchange in the five trading days preceding the subscription agreement date. The proceeds from the subscription will amount to HK$3.9813 million. The Company plans to use the proceeds for general working capital of the Group.
