Guangdong Shunkong Development (003039.SZ) announced that the company plans to sign an equity transfer agreement with Guangdong Shunkong Science and Technology Trade Co., Ltd. (referred to as "Science and Technology Trade") to acquire 100% equity of its wholly-owned subsidiary, Guangdong Shunkong Clean Investment Co., Ltd. (referred to as "Clean Investment" or "target company") for a price of 181 million yuan. Through the acquisition of the target company's equity, Guangdong Shunkong Development will be able to create an integrated "transfer + incineration" industrial model. In the future, it can further integrate the garbage transfer stations in Shunde District, build a complete integrated industrial model for household garbage, greatly improve the operational efficiency of household garbage transfer and disposal, and enhance the company's competitive advantage in the region. Additionally, the target company is indirectly controlled by Shunkong Group, the controlling shareholder of Guangdong Shunkong Development, and is involved in garbage disposal, posing potential competition with Guangdong Shunkong Development. Through this acquisition, potential competition between the controlling shareholder and the listed company can be eliminated without harming the legitimate interests of the listed company and shareholders. Leveraging Guangdong Shunkong Development's existing solid waste operation experience and professional team, management synergy and optimization can be achieved, reducing overall operating costs. Furthermore, this acquisition aligns with the concept of constructing a "big municipal" management chain system in Shunde District, helping to enhance the systematic and overall efficiency of urban environmental governance by leveraging infrastructure for coordinated disposal. By acquiring and integrating garbage transfer stations, controlling the information network of household garbage production, transportation, and disposal, it can provide data support and platforms for future exploration of garbage classification, recycling, big data analysis, and other businesses, potentially cultivating new growth points for performance.
