TIAN TU CAPITAL (01973): Subsidiary intends to subscribe for equity interests in Topos AI Infra Holdings and Topos AI Infra Investments, with a total commitment of US$25 million.

TIAN TU CAPITAL (01973) announces that on September 23, 2026 (after market close), the Company, through its wholly-owned subsidiary Tiantu GP Company, has entered into a Topos AI Infra Holdings subscription agreement with Topos AI Infra Holdings to subscribe for approximately 16.7% of the issued share capital of Topos AI Infra Holdings, for a total consideration of US$5 million. Pursuant to the agreement entered into with Topos AI Infra Holdings, Tiantu Global Management (a wholly-owned subsidiary of the Company) will act as the managing shareholder of Topos AI Infra Holdings, and is required to invest the total proceeds raised by it (approximately US$30 million) in Topos AI Infra Investments (a company that will become a subsidiary of Topos AI Infra Holdings). At approximately the same time, Tiantu Investments (a wholly-owned subsidiary of the Company) also entered into a Topos AI Infra Investments subscription agreement with Topos AI Infra Holdings to subscribe for approximately 40.0% of the issued share capital of Topos AI Infra Investments, for a total consideration of US$20 million. Accordingly, the total commitment of the Group under the subscription agreements is US$25 million. The Company believes that the rapid development of artificial intelligence is driving continued growth in demand for AI infrastructure, and the Group will continue to identify investment opportunities in this industry that align with its investment strategy and bring attractive risk-adjusted returns to shareholders. There can be no assurance that any such opportunities will materialize. The Company is confident in the prospects of the technology industry and the growth of AI-related businesses. The Company will continue its efforts to raise funds for Topos AI Infra Holdings until it reaches its target commitment size of US$200 million.
