S HARBOURHOLD (01663): Signed a project repayment agreement with Gao Neng Construction.

S HARBOURHOLD (01663) announced that on August 25, 2026 (after trading hours), its subsidiary Jiangxi Ganghong Industrial Co., Ltd. (Jiangxi Ganghong), its subsidiary Lepin City Runfeng Real Estate Development Co., Ltd. (Lepin Runfeng), and an independent third-party construction contractor Jiangxi Gaoneng Construction Engineering Co., Ltd. (Gaoneng Construction) entered into a project repayment agreement. According to the agreement, Gaoneng Construction conditionally agreed to accept the repayment from Jiangxi Ganghong for an outstanding contract balance of approximately RMB 65 million for a construction project for which Gaoneng Construction provided services. The unpaid contract balance will be repaid in installments according to the payment schedule specified in the agreement, with the final payment due in December 2029. As a guarantee for the timely repayment of the outstanding contract balance, Lepin Runfeng has mortgaged the land use rights of a property located in Lepin City, Jiangxi Province, China, to Gaoneng Construction. Once the payment obligations under the agreement are fully and timely fulfilled, the debt represented by the outstanding contract balance will be settled in full, and the mortgage will be released in accordance with the terms of the relevant guarantee documents. The company is continuing its efforts to raise funds to repay the outstanding contract balance. The companys board of directors believes that the mortgage will not have any significant adverse effect on the Group's business or operations.
