The Group's systems utilize 3D vision technology to capture point cloud data, achieving precise spatial awareness, and employ AI algorithms based on deep learning that have been trained on extensive industrial data. These algorithms can facilitate autonomous recognition, decision-making, and motion planning under complex conditions such as random stacking, reflective surfaces, and partial occlusions, without the need for manual programming. The Group provides advanced, standardized "eye-brain-hand" components, enabling Siasun Robot & Automation to perceive, understand, and interact with the real world, including intelligent Siasun Robot & Automation guiding products (including industrial-grade 3D cameras and related software), intelligent inspection and measuring products (including 3D measuring instruments and related software), as well as next-generation cornerstone components (such as the Group's proprietary multimodal large model and dexterous robotic hands). The Group is deeply engaged in the research and development of AI and advanced sensing technologies, providing eyes and brains for Siasun Robot & Automation, equipping various forms of Siasun Robot & Automation with accurate perception, intelligent decision-making, and efficient planning capabilities, while also adapting to complex real industrial scenarios. During the historical period, the Group primarily served end customers from the automotive, new energy, consumer electronics, logistics, education, and general manufacturing industries.
The Group has entered into cornerstone investment agreements with Baillie Gifford, Taikang Life, Invus, Jane Street, Ghisallo, Ruihua, NGS Super Fund, E Fund, and Golden Link (collectively referred to as "Cornerstone Investors") under which the Cornerstone Investors have agreed, subject to certain conditions, to subscribe for or procure their designated entities (including qualified onshore institutional investors approved by the relevant Chinese regulatory authorities (QDII) for Taikang Life Insurance Co., Ltd. and E Fund Management Co., Ltd.) to subscribe for an aggregate of USD 186 million worth of the offering shares (approximately rounded to the nearest board lot of 30 H-shares) (the "Cornerstone Placement").
Assuming the offer price is HKD 98.50 (i.e., the median of the offer price range stated in this prospectus), the total number of shares that Cornerstone Investors (including those subscribing through QDII) will subscribe for will be 14,817,500 offering shares, accounting for approximately (i) 64.03% of the H-shares offered in the global offering (assuming the over-allotment option is not exercised); (ii) 11.85% of the total issued share capital of the Group immediately following the completion of the global offering (assuming the over-allotment option is not exercised); and (iii) 11.53% of the total issued share capital of the Group immediately following the completion of the global offering and the full exercise of the over-allotment option.
Assuming the offer price per share is HKD 98.50 (i.e., the median of the offer price range stated in the prospectus), after deducting underwriting fees and commissions payable by the Group for the global offering and other estimated expenses, and assuming the over-allotment option is not exercised, the estimated net proceeds from the global offering are expected to be approximately HKD 2.129 billion. According to the Group's strategy, it intends to use the net proceeds from the global offering for the following purposes: (1) approximately 31.8% will be used to fund R&D for the Group's products and technologies; (2) approximately 25.2% will be used to enrich the Group's product portfolio and broaden application scenarios; (3) approximately 29.4% will be used to expand the Group's global influence and accelerate commercialization; (4) approximately 5.0% will be used to expand production capacity and improve operational efficiency; (5) approximately 8.6% will be used for working capital and general corporate purposes.
Continuous investment in R&D is key for the Group to maintain its technological leadership. As of March 31, 2026, the Group had 229 R&D employees, accounting for 36.1% of the total number of employees on that date. The Group's R&D expenditures for the years ending in 2023, 2024, and 2025, as well as for the three months ending March 31, 2025, and March 31, 2026, were RMB 119 million, RMB 109 million, RMB 113 million, RMB 21.2 million, and RMB 38.5 million, respectively, accounting for 65.6%, 40.6%, 29.0%, 34.4%, and 36.0% of the Group's total revenue during the same periods. In the future, the Group will continue to increase R&D investment to consolidate its technological advantages and meet the complex and diverse needs of its customers.
